Site purpose

helixwrks.com is the website for HelixWrks LLC, an Arizona limited liability company providing life science technology consulting services. The site shares information about those services, publishes educational content, and links to HelixWrks Lab software products, which are operated on their own subdomains. The site itself does not process financial transactions or host user accounts; the products do. Purchases of the products are made under that product's own terms and are processed within the product by Stripe. Advisory engagements are invoiced separately under an executed Client Engagement Agreement and Statement of Work.

Informational purposes only

All content on the site is provided for general informational and educational purposes only. Nothing on the site constitutes legal, medical, financial, regulatory, or professional advice. Content describing technology strategies, vendor evaluation approaches, workflow frameworks, regulatory frameworks, or financial models is general in nature and does not constitute advice tailored to your specific situation. Custom, engagement-level advisory work is provided only under a separately executed Client Engagement Agreement and Statement of Work. Standardized, fixed-price services offered directly through the site or a product (for example, a one-time results review or hourly support) are governed by the terms presented at the point of purchase and do not require a separate Client Engagement Agreement. Advisory deliverables reflect our professional judgment based on the information available and are not a guarantee of any particular result, savings, or regulatory outcome.

HelixWrks Lab products

HelixWrks Lab products are pre-release software. The LIMS Readiness Assessment is a paid, one-time purchase processed within the product by Stripe; BenchForge is available on a limited, invitation-based basis. Both are early-stage and provided as evaluation-grade software. They are provided "as is" and may change, be interrupted, or be discontinued at any time without notice, and we do not warrant their availability, accuracy, or fitness for any particular purpose. Any scores, models, cost figures, or other outputs are informational decision-support only — not professional advice, and not a guarantee of any outcome. You are responsible for the information you enter and for ensuring you are authorized to submit it. We may suspend or revoke access at our discretion. Each product presents its own Terms of Service, Privacy Policy and, where applicable, a Data Processing Addendum within the product, and those terms govern your use of and any purchase of that product. Where they conflict with these Terms, the product's own terms control for that product — including its refund terms. The products are not designed to receive protected health information (PHI); do not enter PHI into them.

Acceptable use

You agree not to misuse the site or products — including attempting to gain unauthorized access, interfering with or overloading the service, reverse engineering or copying the products, reselling or redistributing access, or uploading unlawful, infringing, or malicious content. Access granted to you may not be shared without our consent. Use of each HelixWrks Lab product is additionally governed by that product's own terms, including its acceptable-use and anti-reverse-engineering provisions.

Intellectual property

All content on the site — including text, graphics, logos, frameworks, methodologies, and design — is owned by or licensed to HelixWrks LLC and protected by applicable copyright, trademark, and other intellectual property laws. Rights in the HelixWrks Lab products and their software are addressed by each product's own terms. You may view the site for personal informational use. You may not copy, redistribute, modify, scrape for training of AI/ML systems, or use site content commercially without prior written consent.

Disclaimers and liability

The site is provided "as is" and "as available," without warranty of any kind; each HelixWrks Lab product is likewise provided under, and warranted (or disclaimed) by, its own terms. To the maximum extent permitted by applicable law, HelixWrks's total liability arising from your use of this site is limited to one hundred dollars (US$100). This limitation applies to the site only. Liability for a HelixWrks Lab product is governed by that product's own Terms of Service, and this clause neither reduces nor replaces it; nor does it modify the liability provisions of any executed Client Engagement Agreement or Statement of Work between HelixWrks and a client. In short: this US$100 cap governs claims arising from the marketing site alone; claims arising from a HelixWrks Lab product are capped by that product's own Terms of Service; and claims arising from an advisory engagement are capped by the executed Client Engagement Agreement and Statement of Work. Each cap applies only within its own scope, and the most specific agreement controls.

Third-party links

The site may link to third-party websites, tools, or resources that we do not own or control. We provide these links for convenience and reference only; we are not responsible for the content, accuracy, availability, or practices of any third-party site, and a link does not imply our endorsement. Your use of any third-party site is governed by that site's own terms and policies.

Changes to these Terms

We may update these Terms from time to time as our site and products evolve. When we do, we will revise the effective date above, and the updated version takes effect when posted. Your continued use of the site after a change constitutes acceptance of the revised Terms. If you do not agree to the changes, please stop using the site.

Severability & entire agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later. These Terms, together with our Privacy Policy, constitute the entire agreement between you and HelixWrks regarding your use of the site — except that (a) any executed Client Engagement Agreement and Statement of Work governs the professional services it covers, and (b) the terms presented within a HelixWrks Lab product govern that product. Each controls over these Terms in the event of a conflict, within its own scope.

Governing law and disputes

Before bringing any claim, you agree to send us a written description of the dispute and give us 30 days to resolve it in good faith. Any dispute will be brought only in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. To the extent permitted by law, each party waives any right to a trial by jury.

These Terms are governed by the laws of the State of Arizona, USA. Any dispute is subject to the exclusive jurisdiction of state and federal courts located in Pima County, Arizona.
