Site purpose

helixwrks.com is the website for HelixWrks LLC, an Arizona limited liability company. HelixWrks builds software products for molecular and genomics laboratories — currently the LIMS Readiness Assessment and Fulcrix — and publishes educational content and free, self-scoring readiness frameworks. The HelixWrks products run on their own subdomains and are sold and governed under their own terms, presented within each product (the Assessment’s payments are processed by Stripe; Fulcrix bills nothing during early access); this site itself does not process payments or host product accounts. If HelixWrks separately agrees in writing to provide custom professional services, those services are governed solely by that written agreement — nothing on this site is an offer to provide them.

All content on the site is provided for general informational and educational purposes only. Nothing on the site constitutes legal, medical, financial, regulatory, or professional advice. Content describing technology strategies, vendor-evaluation approaches, workflow or regulatory frameworks, or financial models is general in nature and is not advice tailored to your situation. Outputs generated by the HelixWrks products are decision-support only and are not professional advice. Standardized, fixed-price services offered directly through a product are governed by the terms presented at the point of purchase; where such a service includes a human review, that review reflects our professional opinion on the information you provide and is not a guarantee of any particular result, savings, or regulatory outcome, and does not create an ongoing advisory relationship. Any custom professional services are provided only under a separately executed written agreement.

HelixWrks products

The LIMS Readiness Assessment is a live, paid, one-time software product, processed within the product by Stripe. Fulcrix is software in early access, available by application, not yet billed, and still evolving. Both are provided as software on an "as is" and "as available" basis; they may change, be interrupted, or be discontinued, and we do not warrant their availability, accuracy, or fitness for any particular purpose. Any scores, models, cost figures, or other outputs are informational decision-support only — not professional advice, and not a guarantee of any outcome. You are responsible for the information you enter and for ensuring you are authorized to submit it. We may suspend or revoke access at our discretion. Each product presents its own Terms of Service, Privacy Policy and, where applicable, a Data Processing Addendum within the product, and those terms govern your use and any purchase of that product — including its refund terms. Where they conflict with these Terms, the product's own terms control for that product. The products are not designed to receive protected health information (PHI); do not enter PHI into them.

Acceptable use

You agree not to misuse the site or products — including attempting to gain unauthorized access, interfering with or overloading the service, reverse engineering, disassembling, or copying the products, scraping or bulk-extracting the site, reselling or redistributing access, or uploading unlawful, infringing, or malicious content. Access granted to you may not be shared without our consent. Use of each HelixWrks product is additionally governed by that product's own terms, including its acceptable-use and anti-reverse-engineering provisions.

Intellectual property

All content on the site — including text, graphics, logos, frameworks, methodologies, and design — is owned by or licensed to HelixWrks LLC and protected by applicable copyright, trademark, and other intellectual property laws. Rights in the HelixWrks products and their software are addressed by each product's own terms. You may view the site for personal informational use. You may not copy, redistribute, modify, scrape or ingest the site’s content — including its articles, frameworks, methodologies, and scoring logic — for training, evaluation, or benchmarking of AI/ML systems, to build or improve a competing product or tool, or for any commercial use, without prior written consent.

Disclaimers and liability

The site is provided "as is" and "as available," without warranty of any kind; each HelixWrks product is likewise provided under, and warranted (or disclaimed) by, its own terms. To the maximum extent permitted by applicable law, the total liability of HelixWrks LLC and its members, managers, officers, employees, and agents arising from your use of this site is limited to one hundred dollars (US$100). This limitation applies to the site only. Liability for a HelixWrks product is governed by that product's own Terms of Service, and this clause neither reduces nor replaces it; nor does it modify the liability provisions of any separately executed written agreement for custom services. In short: this US$100 cap governs claims arising from the marketing site alone; claims arising from a HelixWrks product are capped by that product's own Terms of Service; and claims arising from a custom-services agreement are capped by that agreement. Each cap applies only within its own scope, and the most specific agreement controls. These disclaimers and limitations are a fundamental basis of the bargain between you and HelixWrks, and they apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so to the extent a limitation is not permitted it applies to the maximum extent allowed, and nothing here limits any liability that cannot be limited under applicable law.

Third-party links

The site may link to third-party websites, tools, or resources that we do not own or control. We provide these links for convenience and reference only; we are not responsible for the content, accuracy, availability, or practices of any third-party site, and a link does not imply our endorsement. Your use of any third-party site is governed by that site's own terms and policies.

Changes to these Terms

We may update these Terms from time to time as our site and products evolve. When we do, we will revise the effective date above, and the updated version takes effect when posted. Your continued use of the site after a change constitutes acceptance of the revised Terms. If you do not agree to the changes, please stop using the site.

Severability & entire agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later. These Terms, together with our Privacy Policy, constitute the entire agreement between you and HelixWrks regarding your use of the site — except that (a) any separately executed written agreement for custom professional services governs the services it covers, and (b) the terms presented within a HelixWrks product govern that product. Each controls over these Terms in the event of a conflict, within its own scope.

Governing law and disputes

Before bringing any claim, you agree to send us a written description of the dispute and give us 30 days to resolve it in good faith. Any dispute will be brought only in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. To the extent permitted by law, each party waives any right to a trial by jury.

These Terms are governed by the laws of the State of Arizona, USA. Any dispute is subject to the exclusive jurisdiction of state and federal courts located in Pima County, Arizona.

If you are a government body or public institution that is legally unable to agree to out-of-state venue or to the governing law of another jurisdiction, we will negotiate in good faith a mutually acceptable governing law and venue to the extent required by the law that applies to you.
